Can i use 8800gts card for gaming on Athlon 64 3000+, 2gb ram?
Or i need to upgrade Cpu first?

Should work just fine, assuming as it is a PCIe slot card, that you have a
PCIe slot on your mb.

You need a powerful enough PSU though. This thing draws a lot of power
under load. I think >=450W should be fine, generally.
