Prior to making this change everything worked fine. I checked the specs
of the motherboard for front-side bus compatibility...that is fine.
Without disrupting ANYTHING else on the motherboard, I removed the
fan/heatsink & old CPU (2GHz Celeron, and replaced it with a 3.06GHz
Celeron. After seating CPU in the socket properly, and putting the
fan/heatsink back in place...I booted up, but got no post beep & no
output to the monitor. Any idea what could the problem?

Your new processor is incompatible with your motherboard. Or there are
improper settings.

See if there is a BIOS upgrade that allows support of the new
processor.

If u read my initial message, I checked ALL specs for the motherboard &
CPU....it IS compatible. I'm no new jack to computer building, this is
just a unique situation I have never run across b4.

Does the old processor still work?

PS: What EXACT motherboard model, processor and Memory is this?

Without that information, it's a bit hard to track down the issue.

PPS: You may want to try reaseating the memory and power connectors.
One of them may have come loose while fiddling with that Pain in the
Ass P4 heatsink.

Does your board have jumpers?
If so, consult your manual.

If the cpu setting is jumperless...
try resetting the bios

Did you try it a second or third time?

Often a system will need a 2nd or 3rd attempt, the first
time it can't boot because it's trying to use the old
settings then on subsequent attempts it has adjusted them.
The alternative is to clear the CMOS first, by jumper or
removing battery for several minutes while AC is
disconnected from the PSU.

You checked FSB compatibility but what about CPU family
compatibility? Why are we not given details of the specific
motherboard, since it's a pretty important factor? Did you
check (is there a) manufacturer's compatibility chart that
specifically shows this CPU or at least one in the same
family (not just Celeron or same FSB) working?

You might try putting the old CPU back in and flashing the
board to most recent bios if you hadn't already.

Is your PS adequate for the increased consumption a faster processor
would demand???

So you aren't, for example, placing a 90nm processor, in a
motherboard that only supports 0.13u processors ?

That is known to result in a black screen and no beep,
due to the BOOTSELECT pin. An old S478 motherboard grounds
BOOTSELECT, and a new processor knows not to run in an older
motherboard as a result.
